California Business Broker & M&A Advisor License Requirements

License Type Required in California
Real estate broker license required. California business brokers operate under the Real Estate Broker License, regulated by the California Department of Real Estate (CalDRE).

Education Requirements
  • Pre-license (salesperson): 135 hours of approved coursework
  • Broker upgrade: 8 college-level DRE-approved courses (or bachelor's degree equivalent)

Experience Required
2 years as licensed salesperson/broker.

Exam & Licensing Fees
  • Exam: CalDRE broker exam — 200 questions, 5 hours
  • Application fee: $395 broker application + $95 exam fee
  • License fee: $300
  • Exam note: One of the most rigorous broker exams in the US — 75% pass mark

Continuing Education
45 hours per 4 years required to maintain active California broker license. Include mandatory ethics and law topics.

M&A Advisor Requirements in California
California is the largest M&A market in the US. Business-only transactions (no real estate) are technically exempt from CalDRE licensing, but the risk of grey-area deals makes maintaining a real estate broker license the standard practice. For deals involving securities, the California Department of Financial Protection and Innovation (DFPI) regulates. FINRA Series 79 or Series 82 registration is standard for mid-market M&A ($10M–$250M) advisors in California.
